Terms & Conditions

BITBOT — TERMS AND CONDITIONS (DEFINITIVE)

Terms of Use

These Terms and Conditions (the “Terms”) apply to the website located at https://www.bitbot.com and all associated sites, pages, and services (collectively, the “Site”) operated by Bitbot (“Bitbot,” “we,” “us,” or “our”). The following Terms govern your access to and use of the Site.

By accessing, viewing, or using the content, materials, products, or services available on or through the Site, you certify that you have read, understand, and agree to be legally bound by these Terms and our Privacy Policy, each of which is incorporated by reference as if fully set forth herein. You further certify that you are 13 years of age or older and that you have the necessary rights, power, and authority to enter into this agreement and perform the obligations set forth under it. Your use of the Site or any content, materials, products, or services made available on or through the Site (collectively, the “Services”) signifies that you accept and agree to these Terms.

If you do not agree, do not use the Site or Services.

Operator / Company Information

The Site and Services are operated by Bitbot. Legal and customer-service contact details are published on our Company Information / Imprint page and may be updated from time to time.

1. Registration and Accounts

To access certain content, materials, products, or services on the Site, you may be asked to register and create an account. As part of registration, you may be asked to agree to these Terms and select or submit a username and password. You may also be required to provide information such as your legal name, phone number, shipping address, billing address, and email address.

You are responsible for ensuring that your account login and password are kept confidential and secure at all times. Bitbot will not be responsible for misuse of your account where a third party uses your credentials, except to the extent required by applicable law.

When placing an order through the Site, you will be required to provide personal information such as shipping address, billing address, and payment details. Additional information may be collected by Bitbot or its third-party providers at the time of servicing an anti-fraud purpose. You represent that the personal information you provide is true, complete, and up-to-date, and you confirm that you are the person referenced in the billing information provided (unless the item is a gift). If your information changes, please update it in your account (where available).

Any personal information you provide is subject to our Privacy Policy.

2. Purchases

Some products or services made available through the Site may be available for purchase. By purchasing, you represent that you have reached the age of majority in your jurisdiction (typically 18) and have the legal capacity to enter into a contract. If you are under the age of majority or cannot lawfully enter into a contract, your parent or guardian must review these Terms and the Privacy Policy and place an order on your behalf.

Bitbot may use third-party payment processors to process credit card and other payment transactions. You are responsible for any applicable governmental taxes imposed in connection with use of the Site or purchase of products or services, including sales, use, and excise taxes (excluding taxes on Bitbot’s net income). Where required, applicable taxes will be added at checkout.

All sales are subject to our shipping, warranty, and return policies, which are made available on the Site.

3. Payments & Payment Methods

The Site uses third-party payment processors (for example, Stripe, Braintree, PayPal, or others) to process payments. Accepted payment methods are displayed on the applicable payment screen at checkout. For orders placed by credit card or PayPal, payment is typically captured at the time you place the order.

Your use of your payment method is governed by your agreement with your payment provider. You must provide current, complete, and accurate billing information, and you must promptly update billing information as needed. If your payment method is canceled (e.g., due to loss or theft) or you become aware of a potential breach of security (including unauthorized use of your account), you must notify us promptly.

Recurring Payments / Subscriptions (if offered)

Some paid services (for example, auto-replacement parts, consumables, or service plans) may include an initial one-time charge followed by recurring charges. By selecting a recurring plan, you authorize recurring charges until you cancel. You can manage or cancel recurring billing through your account settings (where available) or by contacting support.

All recurring payments are fully earned upon payment except where required otherwise by law or stated in an applicable policy.

Change in Amount Authorized

If the amount to be charged varies from the amount you pre-authorized (other than due to taxes), you may have the right to receive notice of the amount and the date of the charge before the scheduled transaction, as required by applicable law. We may accumulate charges and submit them as one or more aggregate charges during or at the end of each billing cycle.

4. Returns, Exchanges, Shipping Damage, Refunds

Returns — 30 Day Return Policy (Unused Products Only)

Returns are accepted within 30 days of the date of purchase. To be eligible, your Bitbot product must be unused, in the same condition received, and in its original packaging.

To request a return, contact hello@bitbot.com. If the product is received in unused and undamaged condition in its original packaging, we will refund your purchase in accordance with this section and applicable law.

Exchanges — 90 Day Exchange Policy (Unused Products Only)

We will exchange an unused Bitbot product within 90 days of receipt. To request an exchange, contact hello@bitbot.com. If the product is received in unused and undamaged condition, we will ship the replacement product to the address on file unless otherwise agreed.

Damaged in Shipment

Please inspect your order upon delivery. If the product is damaged in transit, email hello@bitbot.com as soon as possible with a description of the damage and photos if available. This helps us improve packaging and resolve carrier claims. We will arrange a replacement or another remedy as appropriate.

Refund Timing

Once your return is received and inspected, we will email you to confirm receipt and approval status. If approved, your refund will be processed to your original payment method within 10–14 business days (timing may vary depending on your bank or payment provider).

EU/EEA/UK Consumers — Right of Withdrawal

If you are a consumer in the EU/EEA/UK, you may have a statutory 14-day right of withdrawal for online purchases, subject to legal exceptions. Where applicable, Bitbot will honor this right in accordance with consumer law. This section does not limit your statutory rights.

5. General Restrictions on Use

You agree to use the Site and Services only for purposes permitted by these Terms and in compliance with all applicable laws, regulations, and generally accepted practices. You may use the Site and Services only for your non-commercial, non-exclusive, non-assignable, non-transferable, and limited personal use.

You will not (and will not attempt to):

  • Access Services by any means other than the interface provided by Bitbot;
  • Gain unauthorized access to Bitbot systems or interfere with performance or security;
  • Use automated means (bots, crawlers, scripts) without prior written consent;
  • Access or collect personally identifiable information for any purpose, including commercial purposes;
  • Reproduce, duplicate, copy, sell, trade, or resell any aspect of the Site or Services;
  • Use Bitbot trademarks or product identifiers in a way likely to cause confusion or imply endorsement.

6. Content; Intellectual Property

As between you and Bitbot, Bitbot owns or licenses all information and materials made available through the Site (“Site Content”), including logos, designs, titles, product names, images, icons, photographs, videos, software, and the associated intellectual property rights. Site Content is protected by copyright, trademark, patent, and other laws.

You agree not to remove or alter any proprietary notices. Under no circumstances will you have rights in Site Content beyond the limited right to use it in accordance with these Terms.

7. Comments, Feedback, and Submissions

Certain features may allow you to submit feedback, comments, suggestions, ideas, or other materials (“Submissions”). By posting Submissions, you represent that you have the right to do so and that your Submissions will not infringe third-party rights, violate law, or disclose confidential information.

Upon submission, you grant Bitbot a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to access, use, reproduce, distribute, display, modify, create derivative works from, and otherwise exploit your Submissions for any purpose without compensation.

Bitbot has no obligation to keep Submissions confidential, to compensate you, or to respond.

8. Reviews

We welcome reviews of Bitbot products and suggestions for improvements (“Reviews”). Reviews are submitted voluntarily and may be published for informational purposes.

By submitting a Review (by email or via the Site), you grant Bitbot a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works from, and otherwise exploit the Review for any purpose.

9. Errors, Inaccuracies, and Omissions

Occasionally there may be information on the Site containing typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, and availability. We reserve the right to correct errors, update information, or cancel orders if any information is inaccurate at any time without prior notice (including after an order has been submitted), subject to applicable law.

10. Disclaimers and Warranties

Bitbot reserves the right to change the assortment of items offered and to limit quantities that may be purchased. We also reserve the right to alter the terms or duration of special offers or promotions. We are not liable for stock outage or unavailability of products.

We make reasonable efforts to display product colors and images accurately, but we cannot guarantee that your monitor’s display of any color is accurate.

TO THE FULLEST EXTENT PERMITTED BY LAW, BITBOT EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES THAT (I) THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) DEFECTS WILL BE CORRECTED; OR (IV) ANY CONTENT, GOODS, OR SERVICES PROVIDED BY THIRD PARTIES WILL MEET YOUR REQUIREMENTS.

No advice or information, whether oral or written, obtained by you from Bitbot or through the Site creates any warranty not expressly stated in these Terms.

Transmission of data over the internet may occur unencrypted and across multiple networks. We do not guarantee that information sent to or from our Site will be secure during transmission.

Some jurisdictions do not allow certain disclaimers; in that case, disclaimers apply only to the extent permitted by law.

11. Limitation of Liability

IN NO EVENT WILL BITBOT BE LIABLE FOR DAMAGES OTHER THAN ACTUAL AND DIRECT DAMAGES PROVEN IN A COURT OF LAW. IN NO EVENT SHALL BITBOT’S TOTAL LIABILITY EXCEED THE PRICE YOU PAID FOR THE PRODUCT OR SERVICE THAT IS THE SUBJECT OF THE CLAIM. IF ANY PART OF THIS LIMITATION IS FOUND INVALID OR UNENFORCEABLE, THEN THE TOTAL LIABILITY OF BITBOT AND ITS LICENSORS SHALL NOT EXCEED TEN U.S. DOLLARS (US $10), TO THE EXTENT PERMITTED BY LAW.

Without limiting the foregoing, Bitbot will not be liable for any indirect, incidental, consequential, punitive, or exemplary losses, including loss of profits, goodwill, business reputation, or data, arising out of or related to your use of or inability to use the Site or Services.

IF YOU ARE DISSATISFIED WITH THE SITE, SERVICES, OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND SERVICES.

Nothing in these Terms limits liability that cannot be limited under applicable law (including mandatory consumer protections).

12. Indemnity

You agree to defend, indemnify, and hold harmless Bitbot and its officers, directors, members, employees, agents, affiliates, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including attorneys’ fees) arising from:

  • your use of and access to the Site;
  • your violation of these Terms or the Privacy Policy;
  • your violation of third-party rights; or
  • use of the Site by any person using your account credentials.

This obligation survives termination. Bitbot may assume exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate. You may not settle any claim without Bitbot’s prior written consent.

15. Dispute Resolution, Governing Law and Jurisdiction

This section explains how disputes involving Bitbot are handled, depending on where you are located and whether you are acting as a consumer (B2C) or a business partner (B2B).

A) Users Located in the United States (B2C)

If you are a consumer located in the United States, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or any products purchased through the Site (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration, except where prohibited by applicable law.

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its applicable rules. Arbitration will be conducted by a neutral arbitrator rather than a judge or jury, and judicial review of an arbitration award is limited.

Unless Bitbot elects otherwise, arbitration shall be conducted remotely or, if an in-person hearing is required, in San Francisco, California, USA.

The arbitration shall decide the Dispute in accordance with the laws of the State of California, without regard to conflict-of-laws principles, except to the extent that mandatory U.S. federal or state consumer protection laws apply.

The arbitrator may award the same damages and relief on an individual basis as a court of competent jurisdiction would award and must follow these Terms as a court would.

Arbitration Fees

AAA filing, administration, and arbitrator fees are governed by AAA rules.

  • If the value of the relief sought is USD $10,000 or less, Bitbot will pay the applicable AAA filing, administration, and arbitrator fees upon your request, subject to AAA rules.
  • For claims exceeding USD $10,000, fees shall be allocated in accordance with AAA rules and applicable law.
  • Additional fee-shifting may apply if required to prevent arbitration from becoming cost- prohibitive.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice postmarked no later than thirty (30) days after you first accept these Terms.

The notice must include:

  • Your full name;
  • Mailing address;
  • Phone number;
  • Email address associated with your account (if any);
  • Signature.

Opt-out notices must be sent to:

Bitbot — Legal Department (Arbitration Opt-Out)
Registered office address
Turin (Torino), Italy

If you opt out of arbitration, all other provisions of these Terms remain fully applicable.

B) Consumers Located in the European Union, EEA, or United Kingdom (B2C)

If you are a consumer located in the European Union, European Economic Area, or the United Kingdom, nothing in these Terms shall be interpreted as limiting, excluding, or waiving your mandatory rights under applicable consumer protection laws, including but not limited to:

  • EU Consumer Rights Directive;
  • Rome I Regulation;
  • Brussels I bis Regulation;
  • UK Consumer Rights Act (where applicable).

Where arbitration clauses are not enforceable under applicable law, disputes shall be submitted to the competent courts of the consumer’s place of residence, or as otherwise required by mandatory law.

EU consumers may also have the right to access the European Commission’s Online Dispute Resolution (ODR) platform at: https://ec.europa.eu/consumers/odr

C) Users Located Outside the EU/EEA/UK and the United States (B2C)

If you are a consumer located outside the EU/EEA/UK and the United States, any dispute arising out of or relating to these Terms shall be governed by the laws of the Republic of Italy, without regard to conflict-of-laws principles.

Unless mandatory local consumer protection laws provide otherwise, such disputes shall be subject to the exclusive jurisdiction of the courts of Turin (Torino), Italy.

D) Business Customers, Distributors, and B2B Partners (B2B)

If you are acting in a professional or business capacity, including but not limited to distributors, resellers, retailers, agents, or corporate or institutional buyers, these Terms shall be governed by the laws of the Republic of Italy, without regard to conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or any commercial relationship with Bitbot shall be subject to the exclusive jurisdiction of the courts of Turin (Torino), Italy.

E) Platform-Specific Disputes (Apple, Amazon, Shopify, Marketplaces)

Where products or services are purchased through third-party platforms or marketplaces (including but not limited to Apple App Store, Amazon, or Shopify-powered stores), dispute resolution and consumer rights may also be subject to:

  • the applicable platform’s terms and conditions; and
  • mandatory local consumer protection laws.

Nothing in these Terms limits rights that consumers may have against such platforms under applicable law.

F) Severability and Mandatory Law

If any portion of this Dispute Resolution section is found to be invalid or unenforceable under applicable law, such portion shall be severed without affecting the validity and enforceability of the remaining provisions.

Mandatory consumer protection laws shall always prevail over conflicting contractual provisions.

G) Summary (Non-Binding, for Clarity Only)

  • US consumers: arbitration (with opt-out option)
  • EU / UK consumers: local courts + mandatory consumer rights
  • Rest of the world: Italian law, Turin courts
  • B2B relationships: Italian law, Turin courts

This summary is provided for convenience only and does not replace the legally binding provisions above.

16. Miscellaneous

These Terms (including the Privacy Policy) constitute the entire agreement between you and Bitbot and supersede all prior or contemporaneous agreements, communications, and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Bitbot may update these Terms from time to time. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms. We are not obligated to provide individual notice of changes, and it is your responsibility to review these Terms regularly.

The Site is controlled and operated from within the European Union. Bitbot makes no representation that the Site or Services are appropriate or available for use in all locations. Access to the Site or Services from territories where their use is illegal is prohibited. Those who access the Site from other locations do so at their own risk and are responsible for compliance with local laws.
